Attendees will learn about common problems during various transaction phases—pending litigation, outstanding tax liabilities, obtaining regulatory consent, and other requirements. After this course, attendees will learn how to draft effective acquisition agreements and sale agreements, the difference between asset and stock sales and acquisitions, the elements of due diligence, bills of sale, corporate resolutions, and other documents necessary to complete the transactions.

This introductory course is also appropriate for mid-level transactional attorneys.
