This course explores the ethical considerations and principles that attorneys must consider when engaging in negotiations. It covers topics such as the rules governing communications with represented and unrepresented parties, the ethical and legal standards regarding candor and deceit in negotiations, ethical duties when presented with drafting mistakes, lawyer liability exposure for misrepresentations, and the ethical implications of advising clients on illegal contract provisions.

The course aims to equip attorneys with the knowledge and strategies to navigate complex ethical issues during negotiations while advocating for their clients effectively and responsibly.

Learning Objectives:

  • Identify sources of guidance to consult when dealing with third parties in negotiation and other communications
  • Create strategies to apply the rules to common situations in their practice
  • Recognize circumstances in which risk is present and devise ethical means to mitigate that risk while advocating for their clients
  • Spot when opposing counsel might be violating one or more applicable rules and communicate effectively with client to address the issue
